acquisition criteria below.
Design house/Provider of Retail Displays
- Activities and Markets
The ideal business would have as its main activity one of the following market sectors, in order
of priority:
- Providing semi-permanent standard display products and components
- Designing product and shop displays - this would be a small design house, with good
creative staff
- Designing and providing modular components for retail displays
- Financial Parameters
The turnover of the business could range up to £7m. Ownership of property would be a slight
advantage. Provided margins are adequate or better for the activity, current profitability
is not important. Indeed, in the current economic climate low or no profits would be expected.
The key issues involve the value and potential of the business and the post-acquisition
benefits.
- Location
The business would probably be in Southern England or Midlands (and if a design house it would
be in London).
- Management
It would be important, certainly for a design house, less so for a business providing semi-permanent standard
display products and components that the business retained strong senior/middle management post-acquisition.
A normal handover period would not be sufficient; it is important that the management wish to become part
of the Group’s permanent management team.
- Consideration
Our client has access to considerable financial resources for acquisitions. The structure of the
transaction and the form of payment can be flexible to suit the timing and taxation needs of the
parties.
